STANDARD TERMS AND CONDITIONS OF PROFESSIONAL SERVICES

Terms and Conditions for Consultation and Training

Instructor: Ahmad Alshami

1. Ownership and Rights

   - All training materials are the intellectual property of Instructor Ahmad Alshami.

   - Ahmad Alshami reserves the right to implement necessary security measures to protect the training materials.

2. Contractual Agreement

   - A contract must be signed by both parties to reserve rights before any training materials are delivered.

   - This contract will outline the responsibilities, deliverables, and expectations from both parties.

   - The contract must be fully executed and delivered to the instructor before any services commence.

3. Schedule and Charges

   - Any changes to the training schedule must be communicated well in advance.

   - Changes made on short notice will incur additional charges, which the Center must pay accordingly.

   - The instructor reserves the right to reschedule sessions if necessary, with reasonable notice provided to the Center.

4. Self-Promotion

   - The instructor is entitled to include one slide in the training presentation to promote himself.

   - The instructor may distribute promotional materials during the training sessions.

5. Certification

   - Upon the completion of the training, the instructor has the right to request certification for his services.

   - The Center agrees to provide the certification promptly upon request.

6. Payment Terms

   - Payment for the training services is due immediately after the training is completed.

   - If the payment is delayed by more than two weeks, a penalty of 10% of the remaining due amount will be charged.

   - The Center is responsible for all costs associated with the transfer of funds to the instructor.

7. Evaluation and Surveys

   - The instructor has the right to conduct surveys and questionnaires to evaluate the attendees' knowledge and progress.

   - The Center agrees to facilitate the distribution and collection of these evaluations.

8. Indemnification and Liability

   - The Center agrees to indemnify and hold harmless the instructor from any claims, damages, or liabilities arising from the use of the training materials or the conduct of the training sessions.

   - The instructor is not liable for any indirect, incidental, or consequential damages arising from the training services.

9. Confidentiality

   - The Center agrees to maintain the confidentiality of any proprietary information shared by the instructor during the course of the training.

10. Termination

    - Either party may terminate the contract with written notice if the other party breaches any material terms.

    - Upon termination, the Center is obligated to pay for any services rendered up to the date of termination.

11. Online Training Specifics

    - The instructor will provide necessary links and access credentials for online training sessions.

    - The Center is responsible for ensuring that all attendees have the necessary technology and internet access to participate in the online training.

    - The instructor reserves the right to record online training sessions for quality assurance and reference purposes.

    - The Center agrees not to distribute or share the online training sessions or materials without the instructor's explicit permission.

    - Technical issues experienced by attendees must be reported immediately to the instructor for prompt resolution.

    - The Center is responsible for any additional costs incurred due to the need for technical support during online training sessions.

By agreeing to these terms and conditions, both parties acknowledge and accept the responsibilities and rights outlined above. This ensures a professional and efficient training experience while protecting the interests of both the instructor and the Center.
